Terms of service

These Terms of Service ("Terms") govern all purchases made through our online store. Please read them carefully before placing an order. By completing an order, you confirm that you have read, understood and accepted these Terms.

1. The Seller

Sales are made by Botica OÜ, Arti 12, 15551 Tallinn, Estonia

2. Scope

These Terms apply to all contracts for the sale of goods concluded between the Seller and a customer ("Customer", "you") via our online store. They apply to consumers and, with modifications set out in Section 14, to business customers.

For the purpose of these Terms, a consumer is a natural person acting for purposes outside their trade, business, or profession.

3. Products and Availability

Product descriptions, images and specifications on our website are provided for information only and do not constitute a binding offer. Slight variations in colour, texture, fabric pattern, or fit may occur due to the natural characteristics of luxury textiles and the nature of individual garment production.

Our product range includes ready-to-wear items and, where indicated, made-to-measure items produced to the Customer's individual specifications. Specific terms for made-to-measure orders are set out in Section 9.

4. Formation of the Contract

The presentation of products in our online store is an invitation to treat, not a binding offer. You submit a binding offer when you click the "Place Order" (or equivalent) button at the end of the checkout process.

After submitting your order, you will receive an automatic order confirmation by email. This order confirmation acknowledges receipt of your order but does not yet form a contract. A binding contract is concluded only when we expressly accept your order by sending a separate shipping confirmation or by dispatching the goods.

5. Prices and Shipping Costs

All prices are quoted in euros (EUR) and include the applicable Estonian value added tax (VAT). Shipping costs are shown separately during checkout before you place your order.

For deliveries outside the European Union, additional duties, import taxes, and fees may apply. These are not included in our prices and are payable by you.

6. Payment

We accept the following payment methods:

Visa, Mastercard, American Express, PayPal, Apple Pay, Google Pay, & Klarna

Payment is due at the time of ordering. Payments are processed by our payment service providers in accordance with their own terms and our Privacy Policy.

7. Delivery

We deliver to the countries listed on our website. Delivery times are stated in each product description or during checkout and are estimates only. They begin on the business day following receipt of full payment (for ready-to-wear items) or confirmation of measurements (for made-to-measure items).

Risk of loss or damage passes to a consumer Customer only upon delivery of the goods to the Customer. For business Customers, risk passes on handover to the carrier.

8. Legal Conformity and Warranty

For consumers, the statutory warranty period of two (2) years from delivery applies under Estonian law (Law of Obligations Act, §§ 217 et seq.). If the goods do not conform to the contract, you are entitled — in accordance with the statutory order of remedies — to repair or replacement and, where applicable, to a reduction of the price or termination of the contract.

To exercise your statutory rights, please contact us at the email address stated above with a description of the defect and, where possible, photographs. We may require the return of the item for inspection.

This statutory warranty is in addition to, and not affected by, your 14-day right of withdrawal described in Section 10 and in our Returns and Refund Policy.

9. Made-to-Measure Orders

Made-to-measure garments are produced individually to your specifications (including measurements, fabric, lining, buttons, and personalisation options where offered). The following special conditions apply to made-to-measure orders:

  • You are responsible for providing accurate measurements. We may offer fitting appointments or guidance through a partner tailor; any such service is part of the contract only if expressly included.
  • Once production has begun, made-to-measure orders generally cannot be cancelled.
  • The statutory right of withdrawal under § 53(4)(3) of the Estonian Law of Obligations Act does not apply to goods manufactured to the Customer's specifications or clearly personalised. Please see our Returns and Refund Policy for details.
  • Statutory warranty rights for defects remain fully applicable.
  • Where fitting adjustments are part of our service, we will make reasonable alterations at no extra cost within a defined period after delivery. Details are communicated during the ordering process.

10. Right of Withdrawal

Consumer Customers have a statutory right of withdrawal for ready-to-wear items, which allows them to return such items within 14 days of receipt without giving any reason. Full details, instructions, and the model withdrawal form are set out in our Returns and Refund Policy, which forms an integral part of these Terms.

The right of withdrawal does not apply to made-to-measure or personalised items, as set out in Section 9 and in the Returns and Refund Policy.

11. Retention of Title

The goods remain our property until full payment of the purchase price has been received.

12. Liability

We are fully liable for damages arising from injury to life, body or health caused by a breach of duty attributable to us, and for damages caused intentionally or by gross negligence.

For damages resulting from a slightly negligent breach of an essential contractual obligation (an obligation the fulfilment of which is necessary for the proper performance of the contract and on the observance of which the Customer regularly relies), our liability is limited to foreseeable damages typical for this type of contract.

Any further liability is excluded, except where mandatory statutory provisions (including the Product Liability Act) provide otherwise.

13. Complaints and Dispute Resolution

If you have any complaint about our goods or services, please contact us first at [EMAIL ADDRESS] so that we can try to resolve the matter directly.

If we cannot resolve the complaint to your satisfaction, as a consumer you may bring the matter to:

Consumer Disputes Committee (Tarbijavaidluste komisjon)

c/o Consumer Protection and Technical Regulatory Authority

Endla 10a, 10122 Tallinn, Estonia

Website: https://komisjon.ee

The European Commission's Online Dispute Resolution platform is available at:

https://ec.europa.eu/consumers/odr

We are neither legally obliged nor voluntarily willing to participate in dispute resolution proceedings before a consumer arbitration board, other than the competent Estonian body mentioned above.

14. Business Customers

For Customers who are not consumers, the following modifications apply:

  • The right of withdrawal does not apply.
  • Notice of defects must be given without undue delay after delivery; otherwise warranty claims are excluded.
  • The period for warranty claims is one (1) year from delivery.
  • Place of performance and exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is [PLACE — typically the Seller's registered office].

15. Applicable Law and Jurisdiction

These Terms and all contracts concluded under them are governed by the substantive law of the Republic of Estonia, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

This choice of law does not deprive a consumer Customer of the protection afforded by the mandatory provisions of the law of the country of the consumer's habitual residence.

16. Severability

If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected.

17. Changes to These Terms

We may amend these Terms from time to time. The Terms applicable to your order are those in force at the time the contract is concluded.
